By requesting or using services from the site and/or its subsidiaries and affiliates accessed through this site collectively referred to as “Freight Portal Global”, you agree to these Terms and Conditions of Use (these “Terms and Conditions”).
 
Freight Portal Global may from time to time change these Terms and Conditions. Your continued use of the Site after any such change constitutes your acceptance of the new terms
 
We may, without prior notice, change the Site; stop providing the Site or features of the Site, to you or to users generally; or create usage limits for the Site. We may permanently or temporarily terminate or suspend your access to the Site without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms and Conditions, or for no reason. You continue to be bound by these Terms and Conditions after termination.
 
By creating a vendor/freight forwarder/partner/user account, or by communicating with our team members about providing your services, you agree that we will approach you with freight inquiries and logistics requests, as well as listing you in our logistics providers directories or including you in our networks.
 
When having the account on this website, you agree to receive automated system emails, marketing campaigns and other notifications from us, unless you unsubscribe from the specific emailing list or delete your account. You also give consent that we can contact you for support and other questions related to the usage of the site or business activities with us.

Disclaimers and Limitation of Liability
 
As a user of this Site, you assume the responsibility for the selection of the Site and its functions as being appropriate for your purposes. Although we make reasonable efforts to update the information on the Site, we make no representations, warranties or guarantees, whether express or implied, that the content on the Site is accurate, complete or up to date.
 
From the point at which you make your booking, we act solely as an intermediary between you and the carriers, transmitting the details of your booking to the relevant shipping service provider and sending you a confirmation email for and on behalf of the shipping service provider.
 
When rendering our services, the information that we disclose is based on the information provided to us by shipping service providers. As such, the service providers are fully responsible for updating all rates, availability and other information which is displayed on our website.
 
Due to market volatility in specific regions of the world, shipping space and equipment are tight and rate validity may be subject to Peak season GRI (General Rate Increase) or EIS/CIC (Equipment Imbalance Surcharge) and other unpredicted surcharges as and when announced by carriers which are not included in current tariffs and can be included later after ETD if such an increase takes place.
 
Freight Portal Global shall under no circumstances be or become liable for any loss, damage, fines or penalties incurred by you arising out of or relating to:
 

1. Loss or damage to cargo, personal effects arising out of delays
2. Personal injury or death
3. Fines and penalties imposed by governmental agencies, customs, carriers and demurrage or detention or similar charges;
4. Sea transit times, Sailing schedule and rates
5. Loss or corruption of any electronic or data however caused.

To the fullest extent permissible pursuant to applicable law, Freight Portal Global disclaims all warranties, express or implied, including, but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement. Freight Portal Global does not warrant the accuracy, completeness or usefulness of any information contained on this site. Freight Portal Global does not warrant that the functions contained in the materials available on this site will be uninterrupted or error-free, that defects will be corrected, or that the materials, this site or the server that makes them available are free of viruses or other harmful components.
 
Under no circumstances shall Freight Portal Global be liable for any special or consequential damages that result from the use of, or the inability to use, this site or any downloaded materials, even if Freight Portal Global or its representative has been advised of the possibility of such damages.

You agree to defend, protect, indemnify, and hold harmless Freight Portal Global from and against any and all claims, causes of action, or liabilities (including without limitation, claims for property damage, personal injury, or death), damages, fines, and costs (including attorneys’ fees), arising out of or related in any way to: (i) your use of this Site or any data, content, or materials transmitted, received, or produced thereby; (ii) your violation of any term of these Terms and Conditions, including without limitation your breach of any of the representations and warranties set forth above; (iii) your violation of any third-party right, including without limitation any intellectual property, privacy, or other proprietary right; (iv) your violation of any applicable law, rule, or regulation; (v) User Content or any content that is submitted via your account, including without limitation misleading, false, or inaccurate information; (vi) your negligence, gross negligence, or willful misconduct; or (vii) any other party’s access to or use of the Site with your unique username, password, or other appropriate security code.
 
Termination
 
These Terms and Conditions are effective unless and until terminated by either Freight Portal Global or you. You may terminate these Terms and Conditions at any time by no longer using this Site, provided that all prior uses of this Site shall be governed by these Terms and Conditions. Freight Portal Global may terminate these Terms and Conditions at any time and without notice, and accordingly deny you access to this Site, in Freight Portal Global’ sole discretion for any reason, including your failure to comply with any term or provision of these Terms and Conditions. Upon any termination of these Terms and Conditions by either you or Freight Portal Global, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the terms of these Terms and Conditions or otherwise.
 
Choice of Law and Severability
 
These Terms and Conditions shall be governed by and construed in accordance with the Exclusive Singapore Law and Jurisdiction of the Singapore Courts.
 
For any dispute with Freight Portal Global, you agree to first contact us at info@freightportalglobal.com and attempt to resolve the dispute with us informally. In the unlikely event that Freight Portal Global has not been able to resolve a dispute it has with you after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to these Terms and Conditions, or the breach or alleged breach thereof (collectively, “Claims”), under the Jurisdiction of the Singapore Courts
 
FORCE MAJEURE
 
Neither Party is liable to the extent that it is unable to perform any of its obligations by war, terrorism, flood, fire, storm, strike, embargo, or other cause beyond the reasonable control of such Party, such as force majeure circumstances (Force Majeure) specified in ICC Force-majeure clause 2003 and ICC hardship clause 2003 (ICC Publication No.650), also including changes in legislation, any restrictions, orders, prohibitions, other actions of public authorities or management and their structural units that are prohibitive in nature; as well as other unforeseen circumstances beyond the control of the Parties, which cannot be overcome by reasonable methods, which directly affected the possibility of implementation of this Contract. This does not affect the liability of either Party to pay any amounts due under this Agreement unless such payment is unavailable because of Force-majeure self.
 

1. The Party affected by Force Majeure shall notify the other Party without undue delay and latest within 2 working Days following the commencement of the Force Majeure event setting out the nature and extent of the Force Majeure, and shall similarly notify the other Party within 2 working Days following the end of the Force Majeure circumstances.
2. The affected Party is not required to perform any of its obligations which are prevented or seriously delayed by the event of Force Majeure for as long as such event continue and unable the affected Party, using all reasonable efforts, to recommence its affected performance.

Miscellaneous
 
No failure or delay of either party to exercise any rights or remedies under these Terms and Conditions shall operate as a waiver thereof, nor shall any single or partial exercise of the same or other rights or remedies preclude any further or other exercise of the same or other rights or remedies, nor shall any waiver of any rights or remedies with respect to any circumstances be constructed as a waiver thereof with respect to any other circumstances.
 
The parties declare that they have required that these Terms and Conditions and all documents related hereto, either present or future, be drawn up in the English language only.
 
These Terms and Conditions constitute the entire agreement between Freight Portal Global and you with respect to the subject matter hereof, and supersedes all proposals, oral or written, and all other communications between the parties with respect to such subject matter.
